Job Description

Master's degree in Law /Business Administration/Public Policy or 4 years bachelor's degree (16 years of education) or relevant equivalent qualification from a local/foreign institute /university recognized by Higher Education Commission (HEC) of Pakistan with at least 60% marks. Minimum 06 years of experience, with at least 03 years in senior-level corporate, Board or governance functions, preferably in executive coordination, government/institutional affairs, with experience in the insurance sector, particularly CCG for Insurers, and/or public-sector corporate entities governed by the SOE Act. Candidates having excellent drafting, official correspondence, coordination, stakeholder management and communication skills, with experience in Board/committee matters, executive decision support and regulatory compliance, will be preferred. Key responsibilities: The position of Manager Corporate Affairs shall report to the Executive Director (CS). To manage and develop the Company's Takaful business/function in accordance with Shariah principles, applicable regulatory requirements and the Company's strategic objectives. • Coordinate matters relating to the Board of Directors and its committees. • Prepare and coordinate Board meeting agendas, working papers, summaries and supporting documents. • Ensure timely circulation and maintenance of Board meeting documentation and minutes. • Maintain proper records of Board decisions, resolutions and committee proceedings. • Monitor implementation of decisions of the Board and its committees. • Coordinate preparation of Board summaries, management papers and corporate reports. • Ensure compliance with applicable corporate laws, regulatory requirements and governance frameworks. • Liaise with SECP, Ministry of Commerce and other regulatory/government authorities on corporate matters. • Maintain statutory and corporate records of the Company. • Coordinate matters relating to shareholders, annual general meetings and other corporate meetings, where applicable. • Assist in formulation and review of corporate governance policies and procedures. • Monitor changes in laws, regulations, circulars and regulatory instructions affecting the Company. • Coordinate responses to regulatory observations and corporate governance matters. • Prepare official correspondence, reports, briefing notes and presentations for senior management and the Board. • Maintain confidentiality of sensitive corporate and Board-related information. • Provide guidance to departments on corporate governance and regulatory compliance matters. • Supervise corporate affairs staff and ensure timely completion of assignments.
